Revised Terms and Conditions for Contractors, Buyers, and Shopper Service

The Terms and Conditions for Contractors, Buyers, and Shopper Service (operating as self-employed Service Providers, Delivery Agents, and Administration positions) are regularly updated. Notable changes are prominently displayed at the top of the published document for easy identification.

  1. Email Notifications: Only additions to the Terms are communicated via email to Customers and Shoppers.

  2. Shopper Accounts: Additional terms related to Shopper accounts (without sign-up) can be found on the home page.

Updated Buyer Terms (Section C, Clauses 1-5):

  1. Shopper Management: Shoppers may add approved Shoppers to their Aisle FLO Pro account and remove them at their discretion. The account holder is responsible for Shoppers associated with their account.

  2. Referral System: Applying Shoppers can use active Shoppers as referrals. If approved, they may have their own Shopper account without any performance-related issues affecting the referring Shopper.

  3. Account Obligations: There is no longer an obligation regarding paused, suspended, or deactivated accounts unless the flagged Shopper is on your AF Pro account.

  4. Response Time: Expect a response regarding your account and information processing within up to 5 business days.

Aisle Flo Buyer Application Terms and Conditions:

These Terms govern your use of the Aisle Flo Buyer Application (Buyer App), platform, and affiliated content. These works are copyrighted and belong to Aisle Flo Inc. (d/b/a Aisle Flo), a Canadian Corporation. By signing up as a personal Buyer or delivery provider through the Aisle Flo Platform, you agree to these Terms. Your provision of personal shopping and delivery services is subject to the Independent Contractor Agreement between you and Aisle Flo, including its subsidiaries or affiliates.

Aisle Flo Buyer Application Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the Aisle Flo Buyer Application (“Buyer App”), platform, and affiliated content. These works are copyrighted and belong to Aisle Flo Inc. (d/b/a Aisle Flo), a Canadian Corporation. By signing up as a personal Buyer or delivery provider through the Aisle Flo Platform, you agree to these Terms. Your provision of personal shopping and delivery services is subject to the Independent Contractor Agreement between you and Aisle Flo, including its subsidiaries or affiliates. If you are using the Buyer App in the course of your employment, the provision of any personal shopping and delivery services is subject to your employment agreement or your employer’s agreement with Aisle Flo.

Before using the Buyer App, you must read, understand, and agree to these Terms. By using the Buyer App, you are bound by these Terms and acknowledge and agree to the collection, use, and disclosure of your personal information in accordance with Aisle Flo’s Buyer and Buyer Applicant Privacy Policy.

A. DEFINITIONS

  1. The “Buyer App” refers to the software provided by Aisle Flo for use on Apple iOS and Android OS devices, including any upgrades. It enables you to sign up and provide services through the Aisle Flo Platform, including personal shopping and delivery services, as defined in the Agreement.

2. The “Aisle Flo Platform” is Aisle Flo’s technology that provides a communications and logistics platform that enables consumers who seek Services from retailers in their area to be matched with individuals or third party providers interested in providing those services. 

Aisle Flo Platform and Buyer App Terms

  1. Aisle Flo Platform: Aisle Flo’s technology serves as a communications and logistics platform. It connects consumers seeking services from local retailers with individuals or third-party providers interested in offering those services.

  2. Device: Refers to a mobile device capable of running the Buyer App.

Proprietary Rights and Licenses

  1. Intellectual Property Rights: Trademarks, copyrights, database rights, patents, and other intellectual property rights related to the Buyer App and its underlying software code, as well as affiliated content (accessible both within and outside the Buyer App on Aisle Flo-controlled webpages), are proprietary. These rights are owned directly by Aisle Flo or its licensors and are protected by applicable laws. You agree to use this proprietary information solely for the purpose of using the Buyer App in compliance with these Terms and the Agreement. Reproduction of any part of the Buyer App is prohibited except as expressly permitted in these Terms. Modifications, rentals, leases, sales, or creation of derivative works based on the Buyer App are not authorized.

  2. License Grant: Aisle Flo grants you a non-exclusive, non-transferable, non-sublicensable, worldwide, and perpetual revocable license to use the Buyer App lawfully. This license is subject to these Terms and the Agreement and applies to your Device. Aisle Flo retains all rights, title, and interest in the Buyer App, the Aisle Flo Platform, and other intellectual property. The license becomes effective upon your acceptance of these Terms and installation or use of the Buyer App.

3. Feedback Ownership and License Agreement

The Buyer App may request feedback from you, including product or retailer information and images of receipts or products (referred to as “Feedback”). By using the app, you agree that any Feedback you provide becomes the exclusive property of Aisle Flo. You also commit to signing any necessary documents to confirm Aisle Flo’s exclusive ownership of the Feedback.

Furthermore, you waive any moral rights you may have now or in the future regarding the Feedback. If Aisle Flo is not recognized as the owner of the Feedback, you grant them a worldwide, perpetual, irrevocable, royalty-free, fee-free, fully transferable, and sub-licensable license to use, exploit, or modify the Feedback for any purpose without payment to you."

 

C. CONDITIONS OF USE

  1. When signing up to use the Aisle Flo Platform, your information will be used to create an account. You are allowed only one account registration. It is your responsibility to safeguard your login details, including any access codes provided to access your account. Regardless of whether the access is authorized by you, you are accountable for all activities performed using the Buyer App.

  2. You may use the Buyer App under the following conditions:

    • In accordance with the Agreement and the terms of service of the relevant digital storefront where you obtained the Buyer App (such as the Apple iOS App Store or the Google Play Store).

    • Complying with any applicable third-party terms of agreement related to using the Buyer App.

    • Abiding by all relevant laws, rules, and regulations.

    • Using the Buyer App only in countries and territories where Aisle Flo’s services are available to customers.

    Additionally:

    • Provide Aisle Flo with accurate and complete information at all times.

    • Refrain from impersonating others in your use of the Buyer App or the Aisle Flo Platform.

    • Obtain consent before posting another person’s personal information, data, content, or materials through the Buyer App or the Aisle Flo Platform.

    • Do not rent, lease, sell, transfer, redistribute, or sublicense the Buyer App.

    • Avoid using or promoting unauthorized modifications, exploits, or other means that interfere with or provide undue advantage in your use of the Aisle Flo Platform.

    • Do not attempt to disrupt or burden the normal operation of the Aisle Flo Platform, its infrastructure, or any other Aisle Flo business activities.

Terms of Use and Shopper Guidelines

  1. Abuse and Consequences:

    • Any misuse of financial resources or assets will result in immediate deactivation of the Shopper Service, as well as the referring Shopper Service.

    • All recorded IP addresses associated with such abuse will be blocked from accessing the platform’s digital online accounts, websites, and apps.

  2. Appropriate Usage:

    • You are prohibited from making automated use of the Buyer App or the Aisle Flo Platform or gaining unauthorized access.

    • Fraud, theft, and embezzlement will be addressed through legal actions.

  3. Software and Security Measures:

    • Attempting to decompile, reverse engineer, disassemble, hack, or bypass Aisle Flo’s software, encryption technologies, or security measures is strictly forbidden.

    • Any data transmitted, processed, or stored by Aisle Flo must not be compromised.

  4. Enforcement and Waiver:

    • Aisle Flo’s failure to monitor or enforce any provision in these Terms does not waive its right to do so in the future.

    • This applies to individual provisions or the Terms as a whole.

  5. Shopper Responsibilities:

    • Receipt Management:

      • Shoppers must upload and maintain digital copies of receipts for at least 21 days.

      • Presenting the store receipt to the customer as expected is essential.

      • Receipts should be flat and legible, following the guidance on the upload page.

      • Submit receipts before leaving the store and alert the customer in the delivery app when you’re “on the way.”

      • Failure to upload receipts within 15 minutes of checkout will result in a performance warning.

      • Not providing a receipt within 1 hour will lead to account suspension (refer to Pay Card usage details, which are mailed to every shopper with physical Pay Cards).

      • Failure to supply return receipts within 24 hours will flag the account for review.

    • Disputes and Communication:

      • Logged-in shoppers can file disputes related to negative feedback, transaction errors, fraud activity, or events limited to engagement with Aisle FLO.

      • All correspondence with shoppers occurs via email.

      • If your account is suspended, reply to the Risk Manager email with relevant details related to the email topic only.

      • Alternatively, respond to the active order text message thread, even after delivery.

 

D. DISCLAIMER AND LIMITATION OF LIABILITY

  1. The Buyer App and AisleFlo Platform are provided “as is” and “as available.” To the maximum extent permitted by applicable law, AisleFlo disclaims all representations, conditions, and warranties, whether express, legal, implied, or statutory. This includes implied warranties or conditions of merchantability, quality, fitness for a particular purpose, durability, title, and non-infringement. Additionally, AisleFlo makes no representation, warranty, conditions, or guarantee regarding the reliability, timeliness, quality, suitability, or availability of the Buyer App or AisleFlo Platform. Furthermore, AisleFlo does not guarantee that the Buyer App or AisleFlo Platform will be uninterrupted or error-free.

  2. AisleFlo shall not be liable for any type of damages, whether direct or indirect, arising from or related to the Buyer App or AisleFlo Platform. This includes damages allegedly arising from mistakes, omissions, interruptions, delays, defects, and/or errors in transmitting, receiving, originating, terminating, and/or delivering information regarding the services. Under no circumstances shall AisleFlo be liable for special, consequential, incidental, exemplary, or punitive damages, or for loss of profit or revenues, even if specifically advised of the possibility of such damages. AisleFlo is not liable for damages related to your use of, inability to access, or difficulty in accessing the AisleFlo Platform through the Buyer App. Additionally, AisleFlo is not responsible for any charges you may incur while using the Buyer App. Furthermore, AisleFlo disclaims liability for damages arising from products, services, and/or information offered or provided by third-party vendors accessed through the Buyer App or by any other means.

E. UPDATES & Enhancements

  1. Aisle Flo reserves the right to make changes to these Terms periodically. When such changes occur, Aisle Flo will publish the most current version of the Terms. If a revision materially affects the Terms, Aisle Flo will notify you (via email or a notification on the Buyer App). These modifications will not apply retroactively. If you disagree with the updated terms, it is advisable to discontinue your use of the Buyer App.

  2. You acknowledge that Aisle Flo may, at its sole discretion, provide updates and enhancements to the Buyer App and Aisle Flo Platform. It is your responsibility to keep the Buyer App up-to-date when updates are available. Aisle Flo cannot be held liable for any losses resulting from your failure to update.
